Krumb - Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Krumb Integration Platform(“Krumb,” “Platform,” “Services”), operated by Relevant Quality Solutions Corp.

By accessing or using Krumb, including any integrations between Ramp and third-partyenterprise resource planning systems such as Yardi, you agree to be bound by these Terms. Ifyou do not agree, you may not access or use the Services.

KRUMB PLATFORM

TERMS OF SERVICE

1. DEFINITIONS

“Client” means the legal entity that has entered into an Order Form, Subscription Agreement, or Statement of Work with RQS.
“Authorized User” means an individual authorized by Client to access and use theServices
“Connected Systems” means third-party software platforms, applications, orservices connected to the Platform.
“Client Data” means any data, records, files, transactions, documents, metadata,or information transmitted to or through the Platform.
“Order Form” means a mutually executed document defining Services, fees,scope, and term.

2. DESCRIPTION OF SERVICES

Krumb is a middleware integration platform designed to facilitate automated data movement,synchronization, and orchestration between Connected Systems.

Services may include, without limitation:

Data ingestion and export
Transformation and validation logic
Scheduled and event-based synchronization
File and document movement
Status updates and system acknowledgements
Audit logs and processing traceability

Krumb operates as a technical enablement layer and does not function as a system of record,accounting system, approval engine, or payment processor.

3. ELIGIBILITY & AUTHORIZED USE

Client represents and warrants that:

It has authority to connect all Connected Systems
It has obtained all required permissions and consents
Authorized Users will comply with these Terms

Client is responsible for all use of the Services under its account.

4. CLIENT RESPONSIBILITIES

Client is solely responsible for:

Configuration decisions within Connected Systems
Data accuracy, completeness, and correctness
Review, approval, and posting of transactions
Internal controls, backups, and reconciliation

RQS does not provide accounting, legal, tax, or compliance advice unless expressly agreed inwriting.

5. CONNECTED SYSTEMS & THIRD-PARTY SERVICES

The Platform integrates with third-party systems not owned or controlled by RQS.

RQS:

Does not guarantee availability or performance of Connected Systems
Is not responsible for changes, outages, or limitations imposed by third parties
Does not assume liability for third-party software failures

Client’s use of Connected Systems remains subject to those providers’ terms.

6. DATA OWNERSHIP & USE

6.1 Ownership

Client’s use of Connected Systems remains subject to those providers’ terms.

6.2 Data Processing

RQS processes Client Data solely to provide the Services and improve Platformfunctionality.

6.3 Data Security

RQS implements commercially reasonable safeguards designed to protect Client Data,including access controls, encryption in transit, and operational logging.

7. CONFIDENTIALITY

Each party agrees to protect the other party’s Confidential Information usingreasonable care and to use it only for purposes related to the Services.
Confidential Information does not include information that is publicly available orindependently developed.

8. FEES & PAYMENT

Fees are defined in the applicable Order Form and may include:

Implementation fees
Subscription fees
Usage-based fees

All fees are non-refundable unless otherwise stated. Failure to pay may result in suspension ortermination of Services.

9. SERVICE AVAILABILITY & SUPPORT

Services are provided on a commercially reasonable availability basis.
Support scope, response times, and service levels are defined in the applicable agreement.
Scheduled maintenance or emergency interruptions may occur.

10. INTELLECTUAL PROPERTY

RQS retains all intellectual property rights in:

The Platform and Services
Software, workflows, and configurations
Documentation and architecture

Client receives a limited, non-exclusive, non-transferable license to use the Services during the subscription term.

11. DISCLAIMERS

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

RQS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

RQS DOES NOT WARRANT THAT DATA TRANSMISSIONS WILL BE ERROR-FREE OR UNINTERRUPTED.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
RQS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, ORSPECIAL DAMAGES
TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY CLIENT IN THE 12 MONTHSPRECEDING THE CLAIM

13. INDEMNIFICATION

Client agrees to indemnify and hold harmless RQS from claims arising from:

Client’s misuse of the Services
Violations of applicable laws
Misconfigured accounting or financial data
Breach of Third-Party Platform terms

14. TERM & TERMINATION

These Terms remain in effect for the term defined in the applicable Order Form.

RQS may suspend or terminate access for material breach, non-payment, or security risk.

Upon termination, Client Data handling will follow the agreed data retention policy.

15. GOVERNING LAW

These Terms are governed by the laws of the Province of Ontario, Canada, without regard toconflict-of-law principles.

16. CHANGES TO TERMS

RQS may modify these Terms from time to time. Continued use of the Services constitutesacceptance of updated Terms.
